Special Board Meeting for Email Vote

The board held a special meeting from Oct 6 to Oct 7, 2013, for the purpose of voting on two motions via email. All seven board members provided emailed waivers of their right to receive at least one week advance notice of the special meeting. The motions follow this introductory paragraph. To make the motions less easily discoverable by internet search, the individuals' names have been replaced by their initials. Both motions passed by unanimous vote of all seven members of the board.


Motion of Intent to Revoke NW’s Membership

Whereas i3 Detroit seeks to provide a welcoming environment free of hostility to all members, the board must act when a member exhibits a pattern of actions that harm our community. NW has made many positive contributions to the space, but those cannot outweigh the hostile environment he has contributed to creating.

  1. The secretary is hereby directed to send a copy of this motion and the Motion to Revoke NW’s Membership to NW via his email address of record.
  2. The board intends to vote on the Motion to Revoke NW’s Membership at the next practicable opportunity.
  3. If NW voluntarily terminates his membership after the passage of this motion and before the vote on the Motion to Revoke, the board will defer the vote on the Motion to Revoke. If, subsequent to such voluntary termination, NW becomes a member again, the board intends to vote on the Motion to Revoke as soon after he becomes a member again as is practicable.
  4. Pursuant to Article 3, Section 10 of the Bylaws, NW may respond in writing (to i3detroit-board@googlegroups.com) or in person to the board with regards to the Motion to Revoke before the scheduled vote. To hear a response in person, the board will make a good-faith effort to schedule a time when as many board members as possible can attend.

  2. The board intends to vote on the Motion to Revoke MC’s Membership at the next practicable opportunity.
  3. If MC voluntarily terminates his membership after the passage of this motion and before the vote on the Motion to Revoke, the board will defer the vote on the Motion to Revoke. If, subsequent to such voluntary termination, MC becomes a member again, the board intends to vote on the Motion to Revoke as soon after he becomes a member again as is practicable.
  4.
